EquipFlow AI Terms & Disclosure

1. Introduction and Scope
These EquipFlow AI Terms & Disclosure (“AI Terms”) govern your use of artificial intelligence-powered features, tools, and functionalities within the EquipFlow platform (collectively, “AI Services”). These AI Terms supplement the EquipFlow Master Subscription Agreement or Terms of Service (the “Agreement”). In the event of a conflict between these AI Terms and the Agreement, these AI Terms shall control solely with respect to the AI Services.

2. Nature of Artificial Intelligence
EquipFlow utilizes large language models (LLMs) and computer vision algorithms to assist in the transcription of equipment nameplates, the generation of preventative maintenance (PM) schedules, and the structured analysis of asset documentation. You acknowledge that AI Services are probabilistic and can result in outputs that are inaccurate, incomplete, or biased. AI Services are intended to serve as a productivity aid and not as a substitute for professional industrial engineering or safety expertise.

3. Input and Output Content
a. Input Content: You may provide data, images, or files (such as photographs of equipment nameplates or technical manuals) to the AI Services (“Input”). You represent that you have all necessary rights to provide this Input.
b. Output Content: The AI Services generate data, text, or structured records based on your Input (“Output”). As between you and EquipFlow, you own the Output to the extent permitted by law, subject to your compliance with the Agreement.
c. Similarity: Due to the nature of machine learning, Outputs may not be unique across users. Other users may provide similar inputs and receive similar outputs.

4. Human Verification Requirement (The "Human-in-the-Loop" Principle)
CRITICAL SAFETY WARNING: You MUST verify all Output for accuracy and safety before implementation. You are solely responsible for:
- Validating that AI-transcribed serial numbers, voltages, and model specifications are correct.
- Reviewing and approving AI-generated PM schedules to ensure they meet regulatory, safety, and operational requirements.
- Ensuring that any AI-based analysis does not conflict with local safety codes or OSHA requirements.
EQUIPFLOW EXPRESSLY DISCLAIMS LIABILITY FOR EQUIPMENT FAILURE, PROPERTY DAMAGE, OR PERSONAL INJURY RESULTING FROM THE UNVERIFIED IMPLEMENTATION OF AI-GENERATED CONTENT.

5. Use Restrictions
You shall not use the AI Services to:
- Develop models that compete with EquipFlow.
- Reverse engineer or attempt to extract the underlying parameters of the AI models.
- Misrepresent AI-generated Output as being entirely human-generated.
- Upload Input that contains Personally Identifiable Information (PII) beyond what is strictly necessary for professional maintenance records (e.g., technician name/ID).

6. Data Privacy and Training
a. Data Handling: Input and Output are processed through third-party AI providers (e.g., OpenAI, Anthropic, or AWS). Your data is handled in accordance with our Privacy Policy.
b. Model Training: EquipFlow does not use your non-anonymized Input Content to train foundational third-party LLMs. However, EquipFlow may use anonymized, metadata-level feedback to improve platform-specific heuristics and matching accuracy.

7. Intellectual Property
EquipFlow retains all ownership of the software, algorithms, and interfaces used to deliver the AI Services. No license is granted to you for the underlying models or weightings.

8. Disclaimer of Warranties
THE AI SERVICES ARE PROVIDED "AS IS." EQUIPFLOW MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE AI SERVICES SHALL CREATE A WARRANTY.

9. Limitation of Liability
EquipFlow’s total liability for claims arising out of the AI Services shall be limited to the amount paid for the feature in the twelve months preceding the claim. We are not liable for any indirect, consequential, or punitive damages arising from AI hallucinations or inaccuracies.

10. Modifications
As AI technology and regulations evolve, EquipFlow reserves the right to modify these AI Terms at any time by posting the updated version to our website.
