These Terms of Service (“Terms”) govern your access to and use of the software applications, websites, services, and related products (collectively, the “Service”) operated by Maintenance Intelligence Group, LLC (“MIG,” “we,” “us,” or “our”), including EquipFlow.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By creating an account, downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agreed to these Terms. You represent that you have the authority to bind yourself or your organization to these Terms.
2. Description of Service
The Service provides tools for asset identification, documentation, analysis, reporting, preventive maintenance planning, and related operational support using automated and artificial intelligence technologies. The Service is intended for business and professional use.
3. Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to do so.
4. Account Registration and Security
You agree to provide accurate and complete information, maintain the confidentiality of your login credentials, and notify us immediately of unauthorized access. You are responsible for all activity under your account.
5. License and Permitted Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You may not:
Reverse engineer, copy, or modify the Service except as permitted by applicable law
Resell, sublicense, or distribute the Service without authorization
Use the Service unlawfully or fraudulently
Interfere with system security or integrity
6. Fees and Payment
- Certain features and EquipFlow plans require payment. You agree to pay all applicable fees according to your selected plan or commercial agreement.
Payments are processed through third-party providers or other approved commercial arrangements. Fees are non-refundable except as required by law or otherwise stated in an applicable written agreement.
Certain EquipFlow plans provide a defined capacity for saved assets. Plan capacity is consumed when a new asset is successfully saved. Scanning, photographing, or processing an equipment data plate does not by itself consume saved-asset capacity.
Saved-asset capacity is associated with the applicable EquipFlow plan or customer account, is non-transferable, has no cash value, and is not redeemable for cash.
Available capacity, plan duration, device limits, and other entitlements vary by plan or commercial agreement.
7. Data Ownership and Control
You retain ownership of your data. We do not claim ownership over user-generated content.
Asset, maintenance, and operational data are primarily processed and stored on customer-controlled devices unless otherwise initiated by the user or transmitted as necessary to perform a requested Service function.
You are responsible for maintaining appropriate backups of your data.
8. Artificial Intelligence and Generated Content
- 8.1 Use of Artificial Intelligence: The Service uses artificial intelligence, optical character recognition, automated processing, and related technologies to analyze information and assist in generating, retrieving, interpreting, or organizing outputs. These technologies may produce incorrect, incomplete, outdated, or otherwise inaccurate results.
8.2 Professional Judgment: The Service is intended to assist qualified personnel with equipment identification, maintenance planning, and related operational activities. AI-generated or automated content does not replace manufacturer requirements, engineering review, regulatory requirements, established safety procedures, or qualified professional judgment where those are required.
8.3 User Verification: You are responsible for reviewing and validating AI-generated, automated, retrieved, or organized information before relying on it. Where appropriate, information should be verified against the actual equipment, manufacturer documentation, applicable codes and standards, site procedures, engineering requirements, and other authoritative sources.
8.4 Safety-Critical Use: You must not rely solely on AI-generated or automated information when an error could result in injury, death, equipment damage, environmental harm, or another unsafe condition. Applicable manufacturer instructions, warnings, lockout/tagout requirements, isolation procedures, personal protective equipment requirements, site safety procedures, laws, regulations, codes, and standards remain controlling.
8.5 No Warranty of AI or Automated Results: AI-generated and automated content is provided “as is” and “as available.” MIG does not warrant that such information will be accurate, complete, current, applicable to specific equipment, or suitable for a particular purpose.
8.6 Additional AI Terms: Use of EquipFlow's AI-assisted functionality is also subject to the EquipFlow AI Terms & Disclosure, which supplements these Terms.
9. User Responsibilities
You agree to:
Use the Service lawfully
Comply with applicable industry regulations and safety requirements
Review and verify Service outputs as appropriate before reliance
Protect your account and system access
Ensure unauthorized users do not access your account
You are responsible for determining whether information provided through the Service is appropriate for your equipment, operating conditions, organization, and intended use.
10. Third-Party Services
The Service may use or integrate with third-party services, data sources, cloud providers, payment processors, manufacturers, OEM resources, and public information sources.
We are not responsible for the availability, accuracy, security, or content of third-party services. Your use of third-party services may also be governed by their respective terms and privacy practices.
11. Intellectual Property
All software, designs, algorithms, trademarks, documentation, and other intellectual property associated with the Service are owned by MIG or its licensors unless otherwise stated.
Nothing in these Terms transfers intellectual property rights to you.
12. Confidentiality
You agree not to disclose proprietary, technical, or confidential information obtained through the Service without authorization.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.”
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.
14. Limitation of Liability
To the maximum extent permitted by law, MIG shall not be liable for indirect, incidental, special, consequential, or similar damages arising from or related to your use of the Service.
To the maximum extent permitted by law, MIG's total liability arising from or related to the Service shall not exceed the fees paid by you to MIG for the Service during the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold MIG harmless from claims arising from your use of the Service, your violation of these Terms, or your regulatory or legal noncompliance, to the extent permitted by applicable law.
16. Termination
We may suspend or terminate your access to the Service for violations of these Terms or as otherwise permitted by an applicable agreement or law.
Termination of an account or license does not create a right to cash redemption or reimbursement of unused saved-asset capacity, except as required by law or expressly provided in an applicable written agreement.
Customer data stored locally on a device is not automatically deleted when an account or access to the Service is terminated.
17. Service Modifications
- We may modify, suspend, or discontinue features of the Service from time to time.
18. Governing Law
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.
Exclusive venue for disputes subject to court proceedings shall be in Deschutes County, Oregon, except where applicable law requires otherwise.
19. Dispute Resolution
Disputes arising from or relating to these Terms or the Service may be resolved through binding arbitration where permitted by applicable law and where elected or required under an applicable agreement.
Nothing in this section prevents either party from seeking relief where arbitration is unavailable or prohibited by applicable law.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service, our business practices, or applicable requirements.
When material changes are made, we will update the Last Updated date and provide any additional notice or acceptance required by applicable law.
